These Terms & Conditions (the “Terms”) form a binding agreement between you and Learnidex (“we”, “us”, or “our”) and govern your access to and use of the Learnidex platform, websites, and services (collectively, the “service”). By creating an account or using the service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the service.
Learnidex is an AI-powered learning management system that generates courses, lessons, and assessments; grades submissions and judges quiz answers; provides an AI tutor; tracks learning progress, grades, and XP; and offers a marketplace for publishing and enrolling in courses. Features may change, be added, or be removed over time.
You must be at least the age of majority in your jurisdiction, or at least 13 (or 16 where a higher age applies under local law) with the consent of a parent or legal guardian, and otherwise legally able to enter into these Terms. The service is not directed to children below those ages. If you use the service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
You must provide accurate information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use or security breach. You are responsible for the content you submit and for ensuring your use of the service complies with all applicable laws.

We may investigate and take appropriate action, including removing content and suspending or terminating accounts, for conduct that violates these Terms.
You retain ownership of the source material, files, prompts, and other content you submit (“Your Content”). You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, display, and transmit Your Content, and to send it to our AI model provider, solely as needed to operate, secure, and improve the service for you. You represent and warrant that you own or have the necessary rights to Your Content and that it does not infringe or violate the rights of any third party or any law.
Courses, lessons, assessments, grades, quiz judgments, and tutor responses are generated by artificial intelligence and may contain errors, omissions, or inaccuracies. AI output is provided for general educational purposes only. It is not a substitute for professional advice and does not constitute legal, medical, financial, academic, or other professional advice, nor any certification, credential, or accreditation. We make no warranty as to the accuracy, completeness, or suitability of AI-generated content, and you are solely responsible for evaluating and independently verifying anything you rely on.
You may publish courses to the Learnidex marketplace and enroll in courses published by others. When another user enrolls in your listed course, the course content is cloned into their own account so they can learn at their own pace; enrolling does not transfer your original rows or progress. By publishing a course, you represent and warrant that you own or have all rights necessary to share the content, and you grant us and other users a non-exclusive, worldwide, royalty-free license to display, enroll in, and clone that course through the service. You must not publish content you do not have the right to share. We may remove listings that violate these Terms or the rights of others.
Certain features require a paid subscription or credits, billed through our payment processor, Stripe. We do not store your full payment card details. Subscriptions are available on monthly or annual plans and renew automatically at the then-current price until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period, and you will retain access until then.
Credits are consumed when you generate courses or refresh adaptive cycles. Credits never expire. Except where required by applicable law, all payments are final and non-refundable, and we do not provide refunds or credits for partial periods, unused credits, or downgrades. We may change our pricing prospectively; changes will not affect the current paid period.
The Learnidex name, logos, software, and design are owned by us or our licensors and are protected by intellectual property laws. Except for the limited rights expressly granted to use the service, these Terms do not grant you any rights to our trademarks, branding, or software.
The service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, to the fullest extent permitted by law. We do not warrant that the service will be uninterrupted, secure, error-free, or that AI output will be accurate or reliable.
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your use of the service. Our total aggregate liability for all claims relating to the service will not exceed the greater of the amount you paid us in the twelve months preceding the claim or one hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You agree to indemnify, defend, and hold harmless Learnidex and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to Your Content, your use of the service, your violation of these Terms, or your violation of any law or the rights of any third party.
You may stop using the service and delete your account at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, if required by law, or to protect the service or other users. Upon termination, your right to use the service ceases. Provisions that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and indemnification — will continue to apply.
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the service after changes take effect constitutes acceptance of the updated Terms.
